We are pleased to inform you that
J.C. Flowers, a leading private
equity firm, intends to acquire BISYS Insurance Services, in a transaction
simultaneous to the sale of The BISYS Group to Citigroup. While this process
will likely take several months to complete, there should be no disruption
to our current daily business.
This sale is the result of an extensive strategic review process conducted
by The BISYS Group Board of Directors over the past eight months. We believe
this is the best transaction for our shareholders and clients. Subject to
satisfaction of conditions as explained in the attached press release, it is
expected that the transaction will close in the fall of 2007.
We are very positive about this development and think it will strengthen our
ability to grow our business and better serve you. Our teams remain focused
on providing strong customer service to expedite the processing, placement
